The specific scope of work for any project will be detailed in a separate Proposal or Statement of Work (SOW) agreed upon by both parties.

2. Intellectual Property Rights

2.1. Client Ownership

Upon full payment of all fees, the Client is granted all rights, title, and interest in the final deliverables (e.g., final website code, design assets, reports) created specifically for the Client.

2.2. Agency Rights

BigBytes Agency retains the right to use any preliminary works, rejected designs, and general know-how, tools, or code libraries ("Background IP") developed prior to or during the project that are not specific to the Client's unique brand.

2.3. Portfolio Use

Unless a Non-Disclosure Agreement (NDA) is signed to the contrary, we reserve the right to display the completed work in our portfolio and marketing materials.

3. Payment Terms

• Quotes & Proposals: All quotes are valid for 30 days from the date of issue.
• Deposits: A non-refundable deposit (typically 50%) is required before work commences.
• Invoicing: Remaining balances are due upon completion of the project or according to the milestones set in the SOW.
• Late Payments: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month or the maximum permitted by law.

4. Client Responsibilities

To ensure the timely completion of your project, you agree to:

• Provide all necessary assets (text, images, credentials) in a timely manner.
• Review and provide feedback on drafts within [X] business days.
• Ensure you have the legal right to use all content provided to us (e.g., stock images, fonts).

5. Limitation of Liability

To the fullest extent permitted by law, BigBytes Agency shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruption, arising out of the use or inability to use our services.

Our total liability for any claim arising out of these terms shall not exceed the total amount paid by you to us for the specific service giving rise to the claim.

6. Third-Party Tools & Services

We may recommend or integrate third-party tools (e.g., hosting providers, plugins, analytics software). We are not responsible for any changes, downtime, or data breaches occurring on these third-party platforms. Clients are responsible for any ongoing fees associated with these third-party services.

7. Termination

Either party may terminate a project with written notice. In the event of termination:

• The Client must pay for all work completed up to the termination date.
• If the Client terminates without cause, the initial deposit is non-refundable.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts in that location.
